1. Services

Evolve Telecom provides communications, VoIP, CRM integration, web, support, and related technology services. We may update, improve, suspend, or discontinue features or services at any time as needed for business, operational, security, or legal reasons. Services are provided "as is" and "as available" without warranties.

2. Accounts and Access

You are responsible for maintaining the confidentiality of your login credentials, API keys, and account access. You are also responsible for all activity performed under your account. You must promptly notify Evolve Telecom if you become aware of unauthorized access or misuse.

3. Customer Responsibilities

  • Provide accurate and current registration, billing, and service information.
  • Use the services only for lawful business purposes.
  • Comply with all applicable telecom, privacy, messaging, and consumer protection laws (e.g., TCPA, CAN-SPAM, STIR/SHAKEN).
  • Maintain your own equipment, software, and network connectivity unless otherwise agreed in writing.
  • Obtain all necessary consents for call recording, messaging, or data processing.

4. Prohibited Use

You may not use the services to:

  • Transmit unlawful, abusive, fraudulent, or misleading content.
  • Interfere with or disrupt our systems, platform, or network operations.
  • Attempt unauthorized access to accounts, data, or infrastructure.
  • Send messages or place calls in violation of consent, opt-out, or other legal requirements.
  • Engage in high-risk activities like emergency services without proper setup (e.g., E911 limitations apply).

Violations may result in suspension or termination. You agree to indemnify Evolve Telecom for any claims arising from your misuse.

5. Billing and Payment

You agree to pay all applicable charges, taxes, fees, and pass-through carrier costs associated with your use of the services. Charges may include recurring fees, usage-based fees, setup charges, support charges, and other service-related costs. Failure to pay may result in suspension or termination of service. We may adjust rates with notice.

You are responsible for all taxes, tariffs, surcharges, and regulatory fees related to the services.

6. Term and Termination

These terms begin upon your acceptance or first use and continue until terminated. We may terminate or suspend services immediately for violations, non-payment, fraud, or legal requirements. Upon termination, you must pay all outstanding charges. Sections surviving termination include payment obligations, disclaimers, and indemnification.

7. Availability and Support

We work to maintain reliable service availability, but services are provided on an "as available" basis. Temporary interruptions may occur due to maintenance, third-party outages, misuse, carrier issues, internet conditions, security events, or circumstances outside our reasonable control (force majeure).

8. Privacy and Data

Your use of the services is also subject to our Privacy Policy. You are responsible for obtaining any notices, permissions, and consents required for your use of calling, messaging, recording, transcription, or customer data workflows. We may monitor usage for security, fraud prevention, and compliance purposes.

9. Intellectual Property

All platform content, software, branding, designs, and service materials provided by Evolve Telecom remain the property of Evolve Telecom LLC or its licensors unless otherwise stated in writing. You grant us a license to use any data you provide for service delivery and improvement.

10. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other and use it only for purposes related to these terms. This obligation lasts for 5 years after disclosure.

11. Voice and Telephony Services

For VoIP and phone services: You must comply with emergency calling (E911) limitationsβ€”services may not support traditional 911 in all locations or on mobile devices. We disclaim liability for E911 failures. Obtain user consents for any call recording or monitoring.

12. Messaging Services

For SMS/MMS: Obtain explicit opt-in consents, honor opt-outs promptly, and comply with carrier rules (e.g., no spam). We may block non-compliant messages without liability.

13. Disclaimers and Limitation of Liability

To the maximum extent permitted by law, the services are provided without warranties of any kind, whether express or implied. Evolve Telecom is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of revenue, business, data, or goodwill arising from the use of or inability to use the services. Our total liability is limited to the fees paid by you in the 6 months prior to the claim.

14. Governing Law and Disputes

These terms are governed by the laws of the State of Florida, without regard to conflict of laws principles. Any disputes will be resolved through binding arbitration in Orlando, Florida, under the rules of the American Arbitration Association. You waive any right to class actions.

15. Miscellaneous

We are not liable for delays or failures due to force majeure events. You may not assign these terms without our consent. We may update these terms with notice; continued use constitutes acceptance.
